These Terms & Conditions apply to purchases made from Milenovo™.

Please read them carefully before purchasing or downloading a Milenovo product.

By placing an order, you agree to these Terms & Conditions.

1. About Milenovo

Milenovo creates and sells professional digital templates, toolkits, guides, spreadsheets, documents, presentations and related resources designed to support activities including project management, management and leadership, business operations, consulting and delivery, and professional development.

Unless expressly stated otherwise on the relevant product page, Milenovo products are supplied digitally and no physical product will be delivered.

2. Purchasing From Milenovo

When placing an order, you are responsible for ensuring that:

  • you have reviewed the product description;
  • the product is suitable for your intended purpose;
  • you have reviewed any stated software or compatibility requirements;
  • the email address and other information provided during checkout are correct; and
  • you are authorised to use the payment method provided.

Product descriptions, previews, screenshots and examples are intended to provide a reasonable representation of the product being purchased.

Minor visual differences may occur because of software versions, operating systems, fonts, display settings or subsequent product updates.

3. Prices, Taxes and Payment

The price payable is the price shown to you at checkout when your order is placed.

Applicable taxes may be calculated, collected or included through Payhip depending on your location and the nature of the transaction.

Milenovo is not currently registered for UK VAT. Where Payhip is responsible for collecting and remitting VAT or other applicable sales taxes as part of its reseller or platform arrangements, those amounts are administered through Payhip.

Promotional, introductory and launch prices may be changed or withdrawn for future purchases at any time.

A subsequent change in price does not affect an order that has already been completed.

Payments are processed using the payment methods made available through our checkout platform, which may include Stripe and PayPal.

4. Digital Delivery

Milenovo products are digital products.

Following successful payment, access will normally be provided electronically through Payhip, a download page, customer account or associated email.

Because digital products can generally be accessed immediately, specific cancellation provisions apply.

5. Immediate Supply and Your Right to Cancel

Where you purchase as a consumer and UK cancellation rights apply, digital content would ordinarily benefit from a cancellation period before digital supply begins.

Milenovo products are, however, designed for immediate digital delivery.

Before immediate digital supply begins, you will be required to:

  1. expressly request that supply of the digital content begins immediately; and
  2. acknowledge that, once supply begins, you will lose your statutory 14-day right to cancel that digital-content purchase.

Once digital supply has begun following your express request and acknowledgement, the normal 14-day change-of-mind cancellation right will no longer apply to that digital content, to the extent permitted by law.

This does not affect statutory rights where digital content is faulty, not as described or otherwise fails to meet applicable legal requirements.

6. Refund Policy

Because Milenovo products are digital and can be downloaded, copied and retained after delivery, change-of-mind refunds are not normally available after digital supply has begun.

This includes situations such as:

  • deciding you no longer need the product;
  • finding another product you prefer;
  • changing your mind after accessing or downloading the product;
  • purchasing the wrong toolkit where the product was accurately described;
  • deciding after accessing the product that you do not like its design or structure where it materially corresponds with the description and previews provided;
  • failing to check clearly stated software requirements before purchasing; or
  • purchasing a product and subsequently deciding not to use it.

A refund will not normally be provided simply because a product has been downloaded and the purchaser later decides that they no longer wish to use it.

Faulty or Misdescribed Digital Content

Nothing in these Terms removes or limits your statutory consumer rights.

If a Milenovo product is faulty, materially different from its description or otherwise fails to meet applicable legal requirements, please contact:

Milenovooffical@gmail.com

Depending on the circumstances and your legal rights, we may seek to:

  • provide a corrected file;
  • replace the affected digital content;
  • resolve a technical problem; or
  • provide another remedy required by applicable consumer law.

Where repair or replacement is unavailable, cannot be completed within a reasonable period or would cause significant inconvenience, you may have a statutory right to an appropriate price reduction, which may in some circumstances include a refund.

Duplicate Purchases and Delivery Problems

If you accidentally purchase exactly the same product twice or experience a genuine problem receiving or accessing your order, contact us and we will review the circumstances.

Any refund offered at Milenovo’s discretion in circumstances where no statutory refund right exists does not create an obligation to provide equivalent refunds in other cases.

7. Licence Granted

Unless expressly stated otherwise on a product page:

One purchase provides one licence for one individual user.

Your purchase grants that individual a limited, non-exclusive and non-transferable licence to use the purchased Milenovo product in accordance with these Terms.

You are purchasing permission to use the product.

You are not purchasing ownership of Milenovo’s underlying intellectual property.

8. Permitted Use

The licensed individual may:

  • download the purchased files;
  • edit and customise them for their own legitimate use;
  • use the tools as part of their own employment, professional activities or business;
  • enter their own project, organisational or client information into the templates;
  • use the tools to manage genuine projects or business activities;
  • create completed outputs using Milenovo products; and
  • provide appropriate completed outputs to clients or stakeholders as part of genuine professional work.

Client Work

You may use a Milenovo product to assist with legitimate work performed for a client.

For example, you may use a Milenovo project-management template to manage a client’s project and provide an appropriate completed project output to that client.

This does not, however, give you permission to transfer the underlying reusable Milenovo template, toolkit or source files to the client for their own ongoing independent use.

Completed or client-specific outputs may be shared where appropriate.

The underlying reusable Milenovo template, toolkit, source file or substantially equivalent reusable copy may not be transferred to another user unless an appropriate additional licence has been purchased or Milenovo has expressly authorised that use in writing.

9. Prohibited Use

Unless expressly permitted in writing by Milenovo, you must not:

  • sell or resell a Milenovo product;
  • redistribute a Milenovo product;
  • share purchased source files with another person;
  • provide copies to colleagues for their independent use;
  • provide reusable source files to clients for their independent use;
  • upload Milenovo source files to a shared drive for use by multiple unlicensed individuals;
  • sublicense, lend, transfer or assign your licence;
  • upload a product to a template marketplace, file-sharing service, membership library or other distribution platform;
  • make a Milenovo product publicly available;
  • reproduce all or a substantial part of a product for resale or redistribution;
  • package Milenovo files into another commercial digital product;
  • distribute modified versions of Milenovo products as reusable templates;
  • use a Milenovo product as the basis of a substantially derivative competing template or toolkit for sale or distribution;
  • remove Milenovo branding or copyright information for the purpose of representing Milenovo’s original work as your own; or
  • otherwise commercially exploit Milenovo intellectual property outside the rights granted by your licence.

Editing or customising a product does not transfer ownership of the underlying product or create a right to redistribute it.

10. Multiple Users and Organisations

Unless a product page expressly states that a different licence applies, one purchase covers one individual user only.

One licence does not permit unrestricted use by an entire:

  • company;
  • consultancy;
  • department;
  • team;
  • client organisation;
  • partnership; or
  • other group.

Where more than one individual needs independent access to or use of the underlying Milenovo product, additional licences are required unless Milenovo has expressly offered a team, business or organisation licence covering that use.

11. Intellectual Property

All intellectual-property rights in Milenovo products remain owned by Christopher James Maclean trading as Milenovo™, or another applicable rights holder where expressly identified.

This includes, where applicable:

  • templates;
  • spreadsheets;
  • formulas and functionality;
  • documents;
  • presentations;
  • layouts;
  • guides;
  • written guidance;
  • processes;
  • frameworks;
  • designs;
  • graphics;
  • product structures;
  • branding; and
  • supporting materials.

Your purchase grants only the usage rights expressly described in these Terms.

You retain ownership of original information, data and content that you independently create and enter into a Milenovo product.

12. Copyright and Unauthorised Distribution

Milenovo products are protected by applicable copyright and intellectual-property law.

We reserve the right to investigate suspected unauthorised copying, sharing, reproduction, resale or distribution.

Where appropriate, Milenovo may:

  • suspend access;
  • revoke a licence following a material breach of these Terms;
  • issue copyright or platform takedown requests;
  • contact marketplaces, hosting platforms or other relevant services; or
  • pursue other legal remedies available to us.

Revocation of a licence resulting from a material breach of its terms does not automatically entitle the purchaser to a refund.

13. Chargebacks and Payment Disputes

If you believe that there is a genuine problem with your purchase, please contact Milenovo so that we have an opportunity to investigate and resolve the issue.

Where a chargeback, payment dispute or refund claim is raised, Milenovo may provide information reasonably relevant to that dispute to Payhip, Stripe, PayPal, the customer’s bank, relevant card networks or other organisations involved in resolving the dispute.

This may include, where available:

  • order records;
  • transaction information;
  • confirmation of acceptance of applicable terms;
  • confirmation of consent to immediate digital supply;
  • download or access records;
  • digital-delivery records;
  • relevant communications; and
  • other information reasonably necessary to respond to the dispute.

Nothing in this section prevents you from exercising any legal right available to you.

14. Product Compatibility

Where particular software is required to use a product, this will normally be stated in the relevant product description or supporting information.

You are responsible for reviewing these compatibility requirements before purchasing.

Third-party software providers may change their software, functionality or compatibility over time.

Milenovo cannot guarantee indefinite compatibility with every future version of third-party software.

This does not affect statutory rights concerning the condition, functionality or description of digital content when it is supplied.

15. Product Updates

Milenovo may periodically correct, improve or update its products.

Unless a product, service or future subscription expressly states otherwise, purchasing a product does not guarantee:

  • perpetual updates;
  • every future version;
  • new features;
  • ongoing customisation;
  • bespoke changes; or
  • unlimited customer support.

Where an update is voluntarily provided to an existing customer without charge, this does not create an obligation to provide all subsequent updates without charge.

16. Templates Are Tools, Not Professional Advice

Milenovo products are designed as professional tools and resources.

They do not constitute legal, financial, accounting, tax, regulatory, medical or other specialist professional advice.

Milenovo products are intended to support professional judgement, not replace it.

You remain responsible for:

  • determining whether a product is suitable for your particular circumstances;
  • reviewing and adapting content before use;
  • verifying calculations, information and outputs where appropriate;
  • obtaining specialist advice where required;
  • complying with laws, regulations, organisational policies and professional requirements applicable to you; and
  • decisions made using information or outputs produced through a Milenovo product.

17. Results and Outcomes

Milenovo does not guarantee that use of a product will result in any particular:

  • business result;
  • financial return;
  • project outcome;
  • performance improvement;
  • promotion;
  • employment outcome;
  • certification;
  • regulatory or compliance result; or
  • other specific outcome.

Worked examples, scenarios and sample information included in Milenovo products are illustrative unless expressly stated otherwise.

18. Limitation of Liability

Nothing in these Terms excludes or restricts liability where it would be unlawful to do so.

Nothing in these Terms excludes or restricts statutory consumer rights.

Where you purchase and use a Milenovo product wholly or mainly for business purposes, then, to the maximum extent permitted by law, Milenovo will not be responsible for indirect or consequential business losses including:

  • loss of profit;
  • loss of revenue;
  • loss of opportunity;
  • loss of anticipated savings; or
  • loss of business.

Where legally permitted, Milenovo’s total liability arising directly from a business customer’s purchase of a particular product will not exceed the amount paid by that customer for the relevant product.

Nothing in this clause limits liability that cannot lawfully be limited.

19. Store and Product Availability

We take reasonable steps to maintain access to the Milenovo store and purchased products, but uninterrupted availability cannot be guaranteed.

Availability may occasionally be affected by:

  • maintenance;
  • Payhip outages;
  • hosting failures;
  • payment-provider outages;
  • internet failures;
  • security incidents; or
  • circumstances outside our reasonable control.

If you experience a genuine problem accessing a purchased product, contact us at Milenovooffical@gmail.com.

20. Changes to These Terms

Milenovo may update these Terms from time to time to reflect:

  • changes to our products or services;
  • new products or business models;
  • changes in technology;
  • changes to our licensing arrangements; or
  • legal or regulatory requirements.

The Terms applying to an individual purchase will normally be those in effect when the relevant contract was entered into, except where a subsequent change is required by law.

The latest version will be displayed on the Milenovo store.

21. Severability

If a provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions will continue to apply to the fullest extent permitted by law.

22. No Waiver

If Milenovo does not immediately enforce a provision of these Terms, this does not mean that the right to enforce that provision has been waived.

23. Governing Law

These Terms are governed by the laws of England and Wales.

If you are purchasing as a consumer, nothing in this provision removes mandatory legal rights or protections that apply to you because of where you live.

Where legally permitted and where a purchaser is acting for business purposes, the courts of England and Wales will have jurisdiction in relation to disputes arising from these Terms.

24. Contact and Complaints

If you have a question, complaint or problem with a purchase, please contact Milenovo so that we have an opportunity to investigate.
